This deal room (the “Deal Room”) has been established in connection with the proposed acquisition of Music Lab (the “Transaction”). Your access to the Deal Room is conditioned upon your acknowledgment of, and agreement to be bound by, the Non-Disclosure Agreement governing this Transaction and the terms set forth below. All materials contained in the Deal Room constitute Confidential Information as defined therein.

By selecting “I Agree & Continue” below, you represent, warrant, and agree that:

• No sharing of anything in this Deal Room. You shall not forward, copy, screenshot, download, photograph, distribute, or otherwise disclose any documents, terms, or other materials contained herein to any person who is not an authorized party to this Transaction.
• Monitoring and recording. You acknowledge and consent that all activity within the Deal Room — including your identity, IP address, device information, session duration, and documents accessed — is actively monitored and recorded, and that such records may be retained and used in connection with the enforcement of the Non-Disclosure Agreement.
• Binding electronic acknowledgment. You are authorized to access the Deal Room on behalf of yourself or the party you represent, and this acknowledgment, executed electronically, shall be deemed valid and binding to the same extent as a signature in ink.
• Legal consequences of breach. You understand that any unauthorized use or disclosure of Confidential Information may cause irreparable harm and may result in legal liability, including injunctive relief and monetary damages, as set forth in the Non-Disclosure Agreement.
